Altigen Academy Terms of Service and User License Agreement (ULA)

These Terms of Service (“Terms”) govern access to and use of the Altigen Academy online learning platform (“Service”) provided by Altigen Technologies, Inc. (“Altigen,” “we,” “our,” or “us”).

By selecting “I Agree” during the Altigen Academy signup process or by accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Description of Service

Altigen Academy is a cloud-based learning platform providing access to educational materials including technology training, security awareness programs, professional development courses, and other instructional content.

The Service is offered as a subscription-based Software-as-a-Service (SaaS) platform accessible via the internet.

Altigen reserves the right to modify, enhance, suspend, or discontinue any aspect of the Service at any time.

2. Account Registration

To access the Service, users must create an account and provide accurate and complete registration information.

You agree to:

• Provide truthful and current registration information
• Maintain the confidentiality of your login credentials
• Accept responsibility for all activity conducted through your account

If you register on behalf of a company or organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Account Sharing Restrictions

Each Altigen Academy subscription is licensed for use by a single individual user unless otherwise expressly authorized by Altigen under a separate organizational license.

Users may not share login credentials, transfer accounts, or allow multiple individuals to access the Service using a single account.

Altigen reserves the right to monitor usage patterns and may suspend or terminate accounts exhibiting abnormal or shared usage activity.

4. Free Trial

Altigen Academy may offer a five (5) day free trial period to new users.

During the trial period, users may access the Service at no cost.

By starting a free trial, you authorize Altigen to charge your payment method after the trial period ends unless the subscription is cancelled before the trial expires.

5. Subscription and Billing

Following the expiration of the free trial period, the account will automatically convert to a paid monthly subscription unless cancelled.

Current subscription pricing is as follows:

• Individual Consumer Accounts: $5.00 per user per month
• Small and Mid-Size Businesses (SMBs up to 500 users): $3.50 per user per month

By subscribing, you authorize Altigen to charge the payment method provided:

• Immediately upon expiration of the free trial period
• On the first day of each calendar month thereafter

Subscriptions automatically renew each month until cancelled.

Altigen reserves the right to modify pricing with reasonable notice.

Failure to process payment may result in suspension or termination of access to the Service.

6. Cancellation Policy

Users may cancel their subscription at any time through the account management portal.

Cancellation will stop future billing but does not terminate the current billing period.

Users will retain access to the Service through the end of the current paid billing cycle.

7. No Refunds and No Proration

All subscription fees are non-refundable.

Altigen does not provide refunds, credits, or prorated adjustments for:

• Partial monthly usage
• Early cancellation
• Failure to cancel before the next billing date
• Periods of inactivity or unused access

Users are responsible for cancelling their subscription prior to the next billing cycle if they do not wish to continue the Service.

8. Payment Authorization and Chargebacks

By providing payment information, you authorize Altigen to charge your payment method in accordance with these Terms.

Users agree to contact Altigen first to resolve any billing issues before initiating a credit card dispute or chargeback.

If a chargeback is initiated for a valid charge under these Terms, Altigen reserves the right to:

• Immediately suspend or terminate the account
• Recover any applicable chargeback fees
• Restrict future access to the Service

9. Acceptable Use

Users agree not to:

• Share login credentials outside the licensed user
• Copy, redistribute, or reproduce course content without authorization
• Use the platform for unlawful or abusive purposes
• Attempt to disrupt, interfere with, or compromise the platform
• Circumvent platform security mechanisms

Altigen reserves the right to suspend or terminate access for violations of these policies.

10. Intellectual Property

All materials provided through the Service including but not limited to:

• Training courses
• Videos and tutorials
• Documentation and written materials
• Graphics and software
• Learning modules and platform content

are the intellectual property of Altigen or its licensors and are protected by copyright and intellectual property laws.

Users receive a limited, non-exclusive, non-transferable license to access and use the content solely for personal learning or internal organizational training.

No ownership rights are transferred.

Content may not be reproduced, distributed, or commercially exploited without written permission from Altigen.

11. Platform Availability

Altigen will make commercially reasonable efforts to maintain availability of the Service but does not guarantee uninterrupted or error-free operation.

The Service may occasionally be unavailable due to:

• System maintenance
• Platform updates
• Internet or hosting issues
• Third-party service disruptions

Altigen shall not be liable for temporary service interruptions.

12. Support

Altigen Academy support is provided via email only.

Users may submit support requests to the designated Altigen support email address.

Altigen will make commercially reasonable efforts to respond to support inquiries within two (2) business days.

Support is limited to platform access issues and technical assistance related to the Altigen Academy service.

13. Disclaimer of Warranties

The Service is provided “as is” and “as available.”

Altigen makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

Training materials are provided for educational purposes only.

14. Limitation of Liability

To the maximum extent permitted by law, Altigen shall not be liable for:

• Indirect or consequential damages
• Loss of business or revenue
• Business interruption
• Data loss

Altigen's total liability under these Terms shall not exceed the subscription fees paid by the user during the three (3) months preceding the claim.

15. Termination

Altigen may suspend or terminate access to the Service if:

• These Terms are violated
• Fraudulent or abusive activity occurs
• Payment obligations are not met
• Platform misuse is detected

Termination does not relieve the user of outstanding payment obligations.

16. Export Compliance

Users agree to comply with all applicable export laws and regulations of the United States and other jurisdictions.

The Service may not be used in violation of U.S. export control or economic sanctions laws.

17. Arbitration and Dispute Resolution

Any dispute arising out of or relating to these Terms or the use of the Service shall be resolved through binding arbitration rather than court litigation, except where prohibited by law.

Arbitration shall be conducted under the rules of the American Arbitration Association.

18. Modifications to Terms

Altigen reserves the right to modify these Terms at any time.

Updated Terms will be posted on the Altigen website. Continued use of the Service after such updates constitutes acceptance of the revised Terms.

19. Governing Law

These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles.
